Meet Your Stylist

This Terms of Use agreement is effective December 1, 2019.
Meet Your Inc, d/b/a Meet Your Stylist ("Meet Your Stylist") helps men and women research, hire, rate, and review a variety of professionals in the salon and beauty industry who offer their services via this website (collectively, the "Stylists") and assists Stylists with introducing their services to such men and women (collectively, the "Service Users"). The following Terms of Use outline your obligations when using the Meet Your Stylist website.

1.ACCEPTANCE OF TERMS OF USE
The Meet Your Stylist internet site available at www.meetyourstylist.com, and the various content, features, and services offered on and in connection with the site, (collectively, the "Site") is owned and operated by Meet Your, Inc, d/b/a Meet Your Stylist, and can only be accessed and used by you under the Terms of Use described below ("Terms of Use"). All users of this Site are referred to in these Terms of Use as "you."

PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THE SITE, YOU AGREE TO BECOME BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, THEN YOU MAY NOT ACCESS AND USE THE SITE.

2.TERMS OF USE- MODIFICATION
Meet Your Stylist may, in its sole discretion, modify these Terms of Use at any time effective upon posting the modified Terms of Use on and in connection with the Site, with or without additional notice to you. You are responsible for regularly reviewing information posted on the Site to obtain timely notice of such modifications, and if you do not agree to the amended terms, you agree to immediately stop using the Site and to provide Meet Your Stylist notice to remove you from any distribution lists or other communication list that are available to you through your use of the Site. YOUR CONTINUED USE OF THE SITE AFTER SUCH POSTING (OR OTHER NOTIFICATION, IF ANY) MEANS YOU ACCEPT AND AGREE TO BE BOUND BY THE MODIFIED TERMS OF USE.

3.USE OF THE SITE
Subject to full compliance with these Terms of Use, Meet Your Stylist grants authorized users a terminable, nonexclusive, nontransferable license to access and use the Site for personal use. You agree to not access, reproduce, duplicate, copy, sell, modify, distribute, transmit, or otherwise use the Site or any of its content for any purpose except for your personal use and as described in this Terms of Use, without the express written consent of Meet Your Stylist. Meet Your Stylist may modify, update, suspend or terminate the Site, and/or your authorization to use the Site, in whole or in part, in its sole discretion for any or no reason whatsoever, at any time and with or without notice of any kind. Meet Your Stylist shall not be liable to you, any other user or other third party for any such modification, update, suspension or termination. These Terms of Use contain provisions that define rights and obligations with respect to your use of the Site, and the transactions between those users of the Site who are offering services as a Stylist, and those users of the Site who are seeking and/or obtaining such services as a "Service User" through the Site.

4.CONDUCT OF USERS
You may not use the Site or make submissions or access to any ratings, rankings, comments, postings, reviews, communications, information, data, text, photographs, or any other material on the Site (collectively, the "Content"), for any purpose that is dishonest, fraudulent, unlawful or prohibited by these Terms of Use, or any other purpose not reasonably intended by Meet Your Stylist. For example, as a condition of using the Site, you agree not to do any of the following:

A)use the Site if you are under the age of eighteen (18), or violate the Terms of Use, intentionally or unintentionally, or other applicable agreement with Meet Your Stylist, and any applicable local, state, national or international law, rules and/or regulations;

B)use the Site in any way that violates any law, rule or regulation, or that infringes upon or violates any third party's rights, including, but not limited to, transmitting any Content that may infringe upon or violate a third party's contractual rights or intellectual property rights;

C)use the Site or its Content for any purposes not authorized by the Terms of Use, such as political purposes;

D)post Content unrelated to the Site or interfere with the functionality of the Site or the rights of Meet Your Stylist or other users of the Site;

E)intimidate, harass, or attempt to impersonate, any other person, post false information or otherwise attempt to mislead others in any way;

F)attempt to improperly influence or modify the proper use of the Site, attempt to obtain access to the Site or any user account or information related thereto without authorization;

G)transfer or allow others to use your account username, password, or your rights and obligations under the Terms of Use;

H)submit any material that is encrypted or that contains viruses or other data or software device that damages, interferes with, impairs, disables or otherwise negatively affects the Site or attempts to do so; or

I)access, monitor, or duplicate any information from the Site or otherwise attempt to or obtain any Content, through any means not intended by Meet Your Stylist.

5.MEMBERSHIP, DISCRIMINATION AND SERVICE RESTRICTIONS
When using the Site, you shall be subject to any Content posted on the Site and applicable to your use and are hereby incorporated into the Terms of Use by reference. Federal, state and local laws prohibit postings of employment with any preference or discrimination based on race, color, religion, sex, national origin, age, disability or other protected class. Meet Your Stylist will not knowingly accept any posting for Services which is in violation of the law. Meet Your Stylist has the right, in its sole discretion and without prior notice to you, to immediately remove any posting for Services that discriminates or is in any way in violation of any federal, state, or local law. By offering Services through the Site, Stylist hereby represents and warrants that he/she is properly and fully licensed, certified, bonded, and insured, as required by applicable laws or regulations to which they may be subject in the jurisdiction(s) in which he/she offers their Services and in relation to the specific task they are performing, and Stylist shall perform the Services in a business location that is fully licensed and authorized to provide the type of Services offered by and performed by Stylist. Meet Your Stylist cannot guarantee and does not represent in any way that that a Stylist is qualified or licensed to perform any given Service. Meet Your Stylist does not perform background checks on Stylists or Service Users and shall have no responsibility or liability whatsoever for the acts or omissions of any Stylist or Service User. It is solely the responsibility of each Service User to determine whether a given Stylist is qualified and capable of rendering services to them.
While using the Site you shall not:

A)violate any laws, third-party rights, or any provision of the Terms of Use;

B)fail to pay for Services purchased by you;

C)fail to perform Services purchased from you, unless the Service User fails to pay, or you cannot verify the Service User's identity;

D)post false, inaccurate, misleading, defamatory, or libelous Content (including personal information about any Site user); or

E)take any action that may cause harm to the feedback or ratings systems.

6.REGISTRATION
You may be required to create an account to use or access certain parts of the Site and provide login information (username and password) to access and use your account. You agree to provide Meet Your Stylist with truthful, accurate, current and complete registration information when registering for or using the Site and update such information when it changes. It is your duty to maintain the confidentiality of any username, password or other account information and for all activities that occur under your account.

7.CONTENT
Upon submitting any Content to the Site, you agree that you hereby grant to Meet Your Stylist; (a) a worldwide, nonexclusive, transferable, royalty free, perpetual, irrevocable, and sublicensable license to modify, distribute, publicly display, use, reproduce, copy, create derivative works from, and incorporate into other works the Content; (b) all rights and obligations necessary to publish or elect not to publish your name and contact information in connection with your Content; (c) sublicense the Content, and acknowledge that this license cannot be terminated by you once your Content is submitted to the Site; and (d) all rights reasonably necessary to prohibit the display, copying, duplication, reproduction, distribution, or use of your Content by any other party. Your name and report information may be made available to the public and to the Stylists on which you report. You represent and warrant that you own or have secured all rights necessary for the Content submitted by you to be used by you, Meet Your Stylist, and others as described and otherwise contemplated in the Terms of Use. You represent and warrant that each person shown or identified in your Content has provided consent to the use of the Content consistent with these Terms of Use. You are solely responsible for your reviews and ratings and Meet Your Stylist may, in its sole discretion, choose to remove or not to remove reviews and ratings, in whole or in part, once published. You shall not make any submission to the Site that may be considered by Meet Your Stylist to be harassing, libelous, abusive, threatening, obscene, profane, offensive, defamatory, infringing, or may violate any law or rights of any other party. All of your submissions shall be based upon your personal experience with the Stylists you are reviewing. Your reviews and ratings of the Stylists will be accurate, honest, and complete in every way. You may not receive anything of value in return for posting reviews and ratings. You may not work for or own or control any interest in an organization that employs any of the Stylists for which you submit reviews and ratings. You shall not submit any review or rating for any Stylist that is a relative. The reviews and ratings that you submit do not reflect the views of Meet Your Stylist, its owners, employees, agents or other users.

8.CONTENT ON THE SITE AND DISTRIBUTION
Meet Your Stylist does not represent or warrant the accuracy or appropriateness of any Content transmitted to or through the Site. You acknowledge and agree that Meet Your Stylist acts solely as a passive computer service provider for the distribution of user-generated Content. You acknowledge and agree that all Content posted on or transmitted through the Site, is the sole responsibility of the person who posted it and not the responsibility of Meet Your Stylist. You understand that Meet Your Stylist does not control, and is not responsible for any Content made available through the Site. You acknowledge and agree that Content available on the Site may be inaccurate, misleading, or offensive and that it is your sole responsibility to weigh all risks associated with use of the Site. Meet Your Stylist has no obligation to review or approve any Content on the Site generated by others, but reserves the right to do so and/or delete any Content in its sole discretion. You agree that it is your sole responsibility to weigh all risks associated with the use of any information that you submit, receive, or access through the Site. Meet Your Stylist shall not be liable under any circumstances for any information or Content, including, but not limited to, any Content that contains any errors, omissions, defamatory statements, or confidential or private information, or for any loss or damage of any kind incurred as a result of your use of the Site or Content submitted, accessed or contained in the Site. You hereby waive the right to bring or assert any claim against Meet Your Stylist relating to Content or the Site, and forever release Meet Your Stylist from any and all liability for or relating to the Site and any Content. You may report Content that violates the Terms of Use by sending an email to contactus@meetyourstylist.com. Meet Your Stylist may establish general standards, practices and policies, which may or may not be published, concerning the use of the Site. Meet Your Stylist has no responsibility or liability for the deletion or failure to store any information or Content or other materials maintained or transmitted by or through the Site. You agree that Meet Your Stylist has the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

9.STYLISTS AND SERVICE USERS
Meet Your Stylist does not endorse and is not responsible or liable for any Content, goods or services available from, or through, any third party or Stylist. You use the Services and Site at your own risk. You agree that Meet Your Stylist is not responsible or liable, indirectly or directly, for any damage or loss caused or alleged to be caused by or in connection with any use or reliance on such Services. Your dealings with any Stylist are separate from and do not involve Meet Your Stylist. You should investigate any and all Stylists to the extent you deem necessary before using or hiring any Stylists. Third parties and Stylists may link or otherwise direct you or others to our Site and we may provide links or otherwise direct you to other websites. Meet Your Stylist does not control or operate any such websites. Any information you provide to these third party websites is subject to the policies of those third parties and it is your responsibility to review such third party policies. You agree that Meet Your Stylist will not be responsible or liable for Services provided on or through third party websites. Meet Your Stylist makes no representations or warranties of any kind as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give to any third party. Meet Your Stylist is not responsible for the accessibility or unavailability of any Stylist, Service User or for your interactions and dealings with them. You hereby waive the right to bring or assert any claim against Meet Your Stylist relating to any interactions or dealings with any third party, Stylist or Service User. Without limiting the foregoing, your business dealings with third parties, Stylists or Service Users found on or through the use of the Site, including payment for and delivery or fulfillment of related Services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such third party. Meet Your Stylist shall not be responsible or liable, directly or indirectly, for any loss or damage of any kind or nature, incurred as the result of any such dealings or as the result of the presence of such third parties or Stylists or Service User on the Meet Your Stylist Site.

10.ADDITIONAL RULES FOR STYLISTS

A)Stylist Profiles and Offers. Subject to any exceptions set forth in these Terms of Use, if any, Stylists shall not: (i) list Services or offers relating to any Service in a category that is inappropriate, inaccurate in any way misleading; (ii) misrepresent the manner in which or location at which they will provide a Service; (iii) attempt to contact or contact any Service User more than two (2) times following notification of a match; (iv) contact any Service User in a manner (email or phone) other than the manner selected by the Service User; or (v) include brand names or other inappropriate keywords in their profile, offer, feedback, or any other title or description relating to a Service.

B)Services. Subject to any exceptions set forth in these Terms of Use, if any, Stylists shall not use their profile to promote services not offered on or through the Site and/or offer prohibited services.

C)Violating Rules for Stylists. If a Stylist violates any of the above-referenced rules in connection with his or her posting, Meet Your Stylist may, in its sole discretion, terminate Stylist�s account, cancel the posting, limit the Stylist's privileges, suspend the Stylist's account, and/or decrease the Stylist's status. 


D)Fees Incurred by Stylists. If applicable, you agree to pay all fees or charges by Meet Your Stylist to your account based on the fees, charges, and billing terms then in effect. If you do not pay on time or if Meet Your Stylist cannot charge your credit card other payment method for any reason, Meet Your Stylist reserves the right to either suspend or terminate your access to the Site and account. As a Stylist, you are expressly agreeing that Meet Your Stylist is permitted to bill you for the applicable fees, any applicable tax and any other charges you may incur in connection with your use of the Site and the package you choose. Fees will be billed on a monthly basis to your credit card or other payment method designated at the time you register until such time as you terminate your account or Meet Your Stylist terminates your account in accordance with the Terms of Use. The date of billing will depend upon the date on which you register. If you terminate your account at any time, you will not receive any refund. If you have a balance due on any account, you agree that Meet Your Stylist may charge such unpaid fees to your credit card or otherwise bill you for such unpaid fees. Meet Your Stylist may modify from time to time the fees charged to you and the manner in which such fees are charged and/or collected, but will do so only after sending an email to you at the email address you have provided Meet Your Stylist, notifying you of such modification. Any such email regarding notice of a modification of fees will be emailed to you at least sixty (60) days prior to implementation of such modification. You may terminate your account if you are not satisfied with the modification of fees or for any other reason. If you choose not to cancel your account within sixty (60) days after the date of the notice emailed to you, you agree that you will have consented to the fee modifications and that such modifications will take effect at the end of the sixty (60) day notice period. You understand and agree that Meet Your Stylist is acting solely as an intermediary for introductions of Service Users to Stylists who may elect to conduct business together. Because tax laws vary from state to state and locality to locality, you understand and agree that you are solely responsible for determining your own tax reporting requirements in consultation with tax advisers, and that Meet Your Stylist cannot and does not offer tax advice to either Stylists or Service Users. All sales on Meet Your Stylist are final and non-refundable. Termination of your account or a downgrade in the package of services you choose will become effective on your next billing date. Any upgrade in the package of services you choose plus any additional costs arising from such upgrade will take effect immediately and any additional fees will be charged to your account.

11.ADDITIONAL RULES FOR SERVICE USERS

A)Service Users shall not; (i) commit to purchasing or using a Service without paying for the Service; (ii) sign up for, negotiate a price for, use, or otherwise solicit a Service with no intention of acquiring or paying for the Service; (iii) agree to purchase a Service without meeting the Stylist's terms; or (iv) misuse any options made available now or in the future by Meet Your Stylist in connection with the use or purchase of any Service.

B)By creating an account with Meet Your Stylist, and use of the Site, Service User hereby consents to contact by Stylists/Salons in the manner or manners in which Service User chooses to be contacted. Service Users may modify the manner of contact in account settings.

C)Violating Rules for Service Users. If a Service User violates any of the above-referenced rules in connection with use of the Site, or if Meet Your Stylist receives more than two (2) complaints of a similar nature regarding your use of the Site or treatment of one of more Stylists, Meet Your Stylist may, in its sole discretion, terminate the Services User�s account, cancel the posting, limit the Service User's account privileges, suspend the Service User's account, and/or decrease the Service User's status.


12.TERMINATION
Meet Your Stylist may terminate your access and use of the Site immediately and without notice for any reason or no reason whatsoever. Upon such termination, you must immediately cease access and use of the Site. Meet Your Stylist reserves the right in its sole discretion, to take any measures to block, nullify or deny your ability to use or access to the Site, which is in addition to any other rights and remedies available to Meet Your Stylist at law or in equity. All provisions of these Terms of Use shall survive the termination of your access or use to the Site, including, without limitation, provisions regarding ownership, warranty disclaimers, indemnity, and limitations of liability.

13.TRADEMARKS AND COPYRIGHTS
"Meet Your Stylist", and other Content on the Site are the trademarks or trade dress of Meet Your Stylist in the U.S. and Canada, and may not be used in connection with any product or service in any manner that is likely to cause confusion. All Content and material made available on the Site is protected by copyright law or should be considered as such, and except for that which is submitted by users, all Content on the Site is the exclusive property of Meet Your Stylist.

14.MAKING CLAIMS OF INFRINGEMENT
Meet Your Stylist will promptly process and investigate legitimate claims of alleged infringement of copyright and other intellectual property and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices in substantial compliance with the DMCA, we may act promptly to remove or restrict access to any material claimed to be infringing or claimed to be the subject of infringing activity and may act promptly to remove or restrict access to any reference or link to material or activity that is claimed to be infringing. We may terminate access for users of the Site who infringe on the intellectual property of others.

A)Notifying Meet Your Stylist: To provide Meet Your Stylist with notice of an infringement, you must provide a written communication to the attention of "Meet Your Stylist Support" at contactus@meetyourstylist.com that sets forth the information specified by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). You may be liable for damages (including costs and attorneys� fees) if you materially misrepresent that an activity is infringing your copyright. Meet Your Stylist will need the following information from you:


B)an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

C)a description of the copyrighted work or other intellectual property that you claim has been infringed;

D)a detailed description of where the material that you claim is infringing is located or found on the Site;

E)your address, telephone number, and email address;

F)your statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

G)your statement, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

H)Providing Counter-Notification: If Meet Your Stylist removes or disables access to Content in response to an infringement notice, Meet Your Stylist may make reasonable attempts to contact the owner or administrator of the affected Content. If your material has been removed and you believe that your material does not constitute infringement, you may provide us with a counter notification by written communication to the attention of "Meet Your Stylist Support" at contactus@meetyourstylist.com that sets forth all of the necessary information required by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). You may be liable for damages (including costs and attorneys� fees) if you materially misrepresent that an activity is not infringing the copyrights of others. If you are uncertain whether an activity constitutes infringement, we recommended seeking advice of an attorney.


15.DELAYS AND ACCESS TO SITE
The Site may be subject to delays, failure, and other problems inherent in the use of the Internet and electronic communications. Meet Your Stylist is not responsible for any delays, failures or other damage resulting from such problems.

16.FEEDBACK
Meet Your Stylist welcomes your comments regarding the Site. However, Meet Your Stylist cannot accept or consider ideas, suggestions, or materials other than those which we have specifically requested from you. Your feedback is valuable so please be specific and do not submit ideas, suggestions or materials. If you do provide such information (collectively, the "Input"), such Input shall become the property of Meet Your Stylist. In addition, none of the Input will be subject to any obligations of confidentiality and Meet Your Stylist will not be liable to you for any use of such Input.

17.WARRANTIES AND DISCLAIMERS OF WARRANTY
You acknowledge and agree that Meet Your Stylist has no control over, and no duty to take any action with respect to: users who access or use the Site; how any Content may affect you or how you use it; or what actions you may take as a result of exposure to the Content. You hereby expressly release Meet Your Stylist from any and all liability in connection with your ability to obtain or not obtain Content through the Site. The Site or website to which you are directed may contain information that you or others may find offensive. Meet Your Stylist makes no representations or warranties regarding Content accessed through the Site, and Meet Your Stylist will not be responsible or liable for the Content or its accuracy, legality or appropriateness. Meet Your Stylist makes no guarantee or warranty of any kind, oral or written, express or implied, as to any matter whatsoever, including but not limited to the that information and assumes no responsibility for accuracy, completeness or any errors or omissions therein.

YOU AGREE THAT YOUR ACCESS TO THE SITE AND USE OF THE SITE IS AT YOUR OWN RISK. THE SITE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, INCLUDING ANY AND ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT ALL OF WHICH ARE SPECIFICALLY AND EXPRESSLY DISCLAIMED. NEITHER MEET YOUR STYLIST NOR ITS EMPLOYEES, AGENTS OR THIRD PARTY CONTENT PROVIDERS SHALL BE LIABLE FOR ANY CLAIM, LOSS OR DAMAGES RESULTING FROM USE OR UNAVAILABILITY OF INFORMATION OR CONTENT ON OR IN CONNECTION WITH THE SITE, INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS, LOSS, CORRUPTION OR DAMAGE TO DATA, OR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, COMPENSATORY OR INCIDENTAL DAMAGES, EVEN IF YOU OR THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS DISCLAIMER IS APPLICABLE TO ANY DAMAGE OR INJURY RESULTING FROM ANY ACT OR ACTS, NEGLIGENCE OR OMISSION OF MEET YOUR STYLIST, COMPUTER VIRUS OR OTHER SIMILAR ITEM, TELECOMMUNICATIONS ERRORS, OR UNAUTHORIZED ACCESS TO, OR USE OF USER INFORMATION THROUGH THEFT OR ANY OTHER MEANS. MEET YOUR STYLIST IS NOT LIABLE FOR CRIMINAL, TORTIOUS, OR NEGLIGENT ACTIONS OR OMISSIONS OF THIRD PARTIES THAT AFFECT THE SITE. IN NO EVENT WILL MEET YOUR STYLIST OR ANY OF ITS DIRECTORS, OFFICERS, AGENTS, OWNERS, MEMBERS, EMPLOYEES, ASSIGNS OR THIRD PARTY CONTENT PROVIDERS BE HELD LIABLE FOR ANY TORTIOUS OR ILLEGAL CONDUCT OF OTHER USERS. IN NO EVENT WILL MEET YOUR STYLIST OR ANY OF ITS DIRECTORS, OFFICERS, AGENTS, OWNERS, MEMBERS, EMPLOYEES, OR ASSIGNS BE OR BE HELD LIABLE FOR ANY DAMAGE TO EQUIPMENT, HARDWARE OR OTHER PROPERTY OF USER, INCLUDING LOSS OR CORRUPTION OF DATA, OR PERSONAL INJURY THAT ARISES IN CONNECTION WITH USE OF THE SITE. ANY MATERIAL ACCESSED, DOWNLOADED, OR OTHERWISE OBTAINED OR USED THROUGH THE SITE IS PERFORMED AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OR CORRUPTION OF DATA THAT RESULTS FROM SUCH ACTION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MEET YOUR STYLIST, OR THROUGH OR FROM THE SITE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THE TERMS, MEET YOUR STYLIST DOES NOT REPRESENT OR WARRANT THAT (I) THE SITE AND/OR SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SITE AND/OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE AND/OR SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SITE OR ANY SOFTWARE WILL BE CORRECTED. YOU AGREE THAT FROM TIME TO TIME MEET YOUR STYLIST MAY REMOVE YOUR ACCESS OR USE OF THE SITE FOR INDEFINITE PERIODS OF TIME, OR CANCEL IT AT ANY TIME, WITHOUT NOTICE TO YOU. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO YOU. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, MEET YOUR STYLIST'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. MEET YOUR STYLIST SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SERVICES, BUT YOU ACKNOWLEDGE AND AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND MEET YOUR STYLIST HEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY DAMAGES LOSS OR LIABILITY OF ANY KIND ARISING FROM OR RELATING TO SUCH INFORMATION IN ANY WAY.

Meet Your Stylist has no control over and no duty to take any action regarding: other users� behavior, access to or use of the Site; what effects Content may have on you; how you may interpret or use Content; or what actions you may take as a result of having been exposed to Content. You release Meet Your Stylist from all liability for you having acquired or not acquired Content through the Site. Meet Your Stylist makes no representations concerning any Content, including the accuracy thereof, contained in or accessed through the Site, and Meet Your Stylist will not be responsible or liable to you for the material contained in or accessed through the Site. The Site may include links to other Internet websites or resources. Meet Your Stylist is not responsible for the availability of such external websites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such Site or resources. You further acknowledge and agree that Meet Your Stylist shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.


18.INDEMNIFICATION OF MEET YOUR STYLIST.
You hereby agree to indemnify, defend and hold harmless Meet Your Stylist, its officers, managers, owners, employees, agents, users, successors, assigns and suppliers from and against all claims, losses, liabilities, expenses, damages, demands and costs, including reasonable attorneys' fees and court costs due to or arising from: (a) any violation of these Terms of Use by you; (b) the inaccurate or untruthful Content or other information provided by you to Meet Your Stylist or that you submit, transmit or otherwise make available through the Service; or (c) any negligent, intentional or willful violation of any rights of another or harm you may have caused to another. Meet Your Stylist will have sole control of the defense of any such damage or claim.

19.LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT MEET YOUR STYLIST, ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF MEET YOUR STYLIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) (COLLECTIVELY, "DAMAGES"), WITH RESPECT TO THE SITE, INCLUDING, BUT NOT LIMITED TO: (A) THE USE OR INABILITY TO USE THE SITE AND SERVICES; (B) THE COST OF ANY GOODS AND/OR SERVICES PURCHASED OR OBTAINED AS A RESULT OF THE USE OF THE SITE; (C) DISCLOSURE OF, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, DATA, INFORMATION, OR CONTENT; (D) CONTENT YOU SUBMIT, RECEIVE, ACCESS, TRANSMIT OR OTHERWISE CONVEY THROUGH THE SITE AND SERVICES; (E) STATEMENTS OR CONDUCT OF ANY STYLISTS, SERVICE USERS OR OTHER THIRD PARTY IN CONNECTION WITH OR THROUGH THE SITE; (F) ANY OTHER MATTER RELATING TO THE SITE; (G) ANY BREACH OF THESE TERMS OF USE BY MEET YOUR STYLIST OR THE FAILURE OF MEET YOUR STYLIST TO PROVIDE THE SERVICES UNDER THESE TERMS OF USE OR (H) ANY OTHER DEALINGS OR INTERACTIONS YOU HAVE WITH ANY STYLISTS OR SERVICE USER (OR ANY OF THEIR REPRESENTATIVES OR AGENTS). TO THE EXTENT MEET YOUR STYLIST, ITS OFFICERS, EMPLOYEES AND AGENTS ARE FOUND LIABLE FOR ANY DIRECT DAMAGES RELATED TO THESE TERMS OF USE OR THE USE OF THE SITE AND SERVICES, LIABILITY FOR DAMAGES SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500) IN THE AGGREGATE. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations or exclusions of liability or damages are not permitted. In such jurisdictions, some of the foregoing limitations and exclusions may not apply to you.

20.BREACH OF TERMS OF USE AND LIQUIDATED DAMAGES FOR SUCH BREACH
You understand that the Content on the Site has significant value to Meet Your Stylist and that the damage caused to Meet Your Stylist for any violation of these Terms of Use pertaining to the Site will be difficult or impossible to accurately estimate. Therefore, you shall be liable to pay Meet Your Stylist the following amounts as liquidated damages, and you agree that the liquidated damages are a reasonable estimate of Meet Your Stylist�s damages for the specified breaches of these Terms of Use:


A)If you post Content in violation of these Terms of Use, you agree to promptly pay Meet Your Stylist One Thousand Dollars ($1,000) for each item of Content posted in violation of these Terms of Use. Meet Your Stylist may (but shall not be required to) to issue you a warning before assessing damages.

B)If you use, display, copy, or sell Content in violation of these Terms of Use, you agree to pay One Thousand Dollars ($1,000) for each record or report that you used, displayed, copied, or sold for any purpose.

C)If you use computer programming routines that are intended to compile data from the Site or otherwise damage, disrupt, disable or otherwise cause damage to the Site, you agree to pay One Thousand Dollars ($1,000) for each report or record that is affected by you in such manner.

D)Except as set forth in the foregoing subparagraphs (a) through (c), you agree to pay the actual damages suffered by Meet Your Stylist, including, but not limited to attorneys' fees and court costs, to the extent such actual damages can be reasonably calculated. Notwithstanding any other provision of these Terms of Use, Meet Your Stylist reserves the right to seek the remedy of specific performance of any term contained herein, or a preliminary or permanent injunction against the breach of any such term or in aid of the exercise of any power granted in these Terms of Use, or any combination thereof.

21.NOTICES
You consent to receive electronic communications from Meet Your Stylist by way of email or by a posting on the Site, and you agree that any such communications satisfy any legal requirement to make such communications in writing. You agree that Meet Your Stylist may communicate any notices to you under these Terms of Use, through electronic mail, regular mail or posting the notices on the Site. All notices to Meet Your Stylist shall be provided by sending: (a) an email to contactus@meetyourstylist.com; or (b) a letter, first class certified mail, to Meet Your Stylist at, 10 Crawling Stone Cir, Madison, Wisconsin 53719, Attn: Meet Your Inc Communications. Such notices will be deemed delivered upon verification of delivery.

22.ENTIRE AGREEMENT
These Terms of Use and other agreements, rules, and policies incorporated by reference herein, without limitation, the Privacy Policy, constitutes the entire agreement between you and Meet Your Stylist. IF you are a salon then a separate Terms of Service Agreement shall govern your engagement with Meet Your Stylist. It supersedes any prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between you and Meet Your Stylist regarding the subject matter contained in these Terms of Use. Additional terms and conditions may exist between you and third parties, including but not limited to, Stylists, Service Users and others. You represent and warrant that those third party agreements do not interfere with your obligations and duties to Meet Your Stylist under these Terms of Use.

23.GOVERNING LAW, VENUE, JURISDICTION
These Terms of Use and the relationship between you and Meet Your Stylist shall be governed by the laws of the State of Wisconsin, notwithstanding any choice of law provisions. You hereby consent to the venue of the state or federal courts located in Dane County, Wisconsin and expressly submit to the personal jurisdiction of the state and federal courts located in Dane County Wisconsin. You agree that notwithstanding anything to the contrary, any claim or cause of action arising out or related to your use of the Site or these Terms of Use shall be filed within one (1) year after such claim or cause of action arises. Failure to do so shall result in your claim being barred.

24.MISCELLANEOUS ITEMS
If you breach any term of the Terms of Use or other agreements with Meet Your Stylist, Meet Your Stylist may pursue any legal or equitable remedy available, including but not limited to, direct, indirect, consequential, and punitive damages and injunctive relief. Meet Your Stylist's remedies are cumulative and not exclusive. Failure of Meet Your Stylist to exercise any remedy or enforce any portion of the Terms of Use at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of the Terms of Use at any time thereafter. If any provision of the Terms of Use is found to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that the Terms of Use shall otherwise remain in full force and effect. The Terms of Use is not assignable, transferable or sublicensable by you except with Meet Your Stylist's prior written consent. Meet Your Stylist may transfer, assign or delegate the Terms and its rights and obligations without your consent. Users of the Site are responsible for compliance with all applicable laws and regulations. No joint venture, partnership, employment or agency relationship exists between you and Meet Your Stylist as a result of these Terms of Use or use of the Site.
